Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the MedAssist website, applications, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Who We Are

MedAssist is a healthcare operations and clinical support platform offered by Niufin Cloud (“we,” “us,” or “our”). References to “you” or “User” include any individual or organization accessing the Platform, including hospitals, administrators, clinicians, pharmacists, lab personnel, and patients where applicable.

2. Eligibility and Account Responsibilities

  • You must provide accurate and complete information when creating or using an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • You must promptly notify us of any unauthorized access or security incident.
  • Hospitals and administrators are responsible for assigning correct roles and permissions to staff.

3. User Obligations and Acceptable Use

You agree that you will not:

  • Use the Platform for unlawful, harmful, or fraudulent purposes.
  • Attempt to gain unauthorized access to systems, data, or accounts.
  • Upload malware, run automated scraping, or disrupt Platform availability.
  • Misrepresent your identity, role, affiliation, or credentials.
  • Use the Platform to store or transmit content that violates privacy, confidentiality, or intellectual property rights.

4. Clinical Responsibility and AI-Assisted Features

Certain features may provide AI-assisted drafting, summarization, or suggestions. AI output is provided for workflow support and does not replace professional judgment.

  • Licensed clinicians remain solely responsible for diagnosis, prescriptions, treatment decisions, and patient safety.
  • You must verify all AI-generated suggestions before use in clinical care.
  • The Platform is not intended for emergency services. In emergencies, contact local emergency services immediately.

5. Intellectual Property

The Platform, including its software, design, user interface, trademarks, logos, and documentation, is owned by or licensed to us and is protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Platform.

6. User Content and Data

You retain rights to the data and content you submit to the Platform, including patient records and documents, subject to applicable laws and your contractual obligations. You grant us a limited right to process such data solely to operate, secure, and improve the Platform and to provide services to you, in accordance with our Privacy Policy.

7. Third-Party Services

The Platform may integrate third-party services (such as payment gateways, messaging, or infrastructure providers). Your use of third-party services may be subject to their separate terms and policies. We are not responsible for third-party services not controlled by us.

8. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

9. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from or related to your use of the Platform. Our total liability for any claim will not exceed the fees paid by you to us for the Platform in the three (3) months preceding the event giving rise to the claim, unless applicable law requires otherwise.

10. Indemnity

You agree to indemnify and hold us harmless from claims, liabilities, damages, and expenses arising out of your misuse of the Platform, violation of these Terms, violation of applicable law, or infringement of third-party rights.

11. Termination

We may suspend or terminate access to the Platform if we reasonably believe you have violated these Terms, created security risk, or used the Platform unlawfully. Upon termination, your right to use the Platform ceases, subject to lawful retention requirements for records.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, courts located in Assam, India will have jurisdiction over disputes arising from these Terms or the Platform.
